These Terms & Conditions govern your access to and use of the Nxt Clinic platform, including the services, features, software, and tools provided through the platform. * **"Free Plan"** refers to the services and features made available by Nxt Clinic without a monetary charge.
* **"Paid Plan"** refers to any subscription or service that requires payment.
* **"User Data"** refers to information and data entered, uploaded, or stored by the User through the Platform.
## 2. Acceptance of Terms
By using Nxt Clinic, you agree to these Terms & Conditions and any policies referenced herein, including our **Privacy Policy**.
If you do not agree with any part of these Terms, you must stop using the Platform.
Nxt Clinic may update these Terms from time to time as described in the "Changes to These Terms" section.
## 3. User Accounts and Account Security
Certain Nxt Clinic services may require you to create an account.
You are responsible for:
* Providing accurate and complete information when creating your account.

If an account is associated with a Clinic or organization, the account administrator or responsible organization is responsible for managing its users and the permissions granted to them.

Nxt Clinic may provide a free version of the Platform that allows Users to access and use a limited selection of services and features without payment.
Users may use the Free Plan to explore and evaluate the Platform before deciding whether to upgrade to a Paid Plan.
Features, limits, and availability under the Free Plan may differ from Paid Plans. Nxt Clinic may modify, improve, add, or remove features included in the Free Plan, subject to applicable law.
Providing a Free Plan does not create an obligation for Nxt Clinic to provide all Platform features without charge.
## 5. Paid Subscriptions and Services
Nxt Clinic may offer additional services or features for a fee.
When selecting a Paid Plan, the applicable price, subscription period, and included features will be presented before the subscription is completed.
By completing a payment or upgrading to a Paid Plan, you agree to pay the fees displayed at the time of purchase.
Prices, plans, features, and subscription options may change from time to time. Any material changes to applicable fees will be communicated before they apply to new subscriptions or renewals, where required by applicable law.
## 6. Refund and Cancellation Policy
Nxt Clinic provides Users with the opportunity to use the Free Plan before purchasing a Paid Plan. This allows Users to explore the Platform, evaluate its available features, and make an informed decision before upgrading.
**Accordingly, fees paid for subscriptions or Paid Services are non-refundable after the payment or upgrade has been completed, except where a refund is required by applicable law.**
Cancelling a subscription does not automatically entitle the User to a refund for amounts already paid for the current subscription period.
For recurring subscriptions, cancellation may prevent the next renewal while allowing the User to continue accessing the applicable service until the end of the already-paid subscription period, depending on the applicable plan and subscription terms.
Exceptions to this no-refund policy may apply where required by applicable law or where Nxt Clinic determines otherwise at its discretion.
## 7. Acceptable Use
You are granted a limited, non-exclusive right to use Nxt Clinic for lawful purposes and in accordance with these Terms.
You must not use the Platform:

Nxt Clinic is a software platform designed to help Clinics manage and organize their operations and data. Nxt Clinic is not responsible for the accuracy, completeness, or appropriateness of information entered into the Platform by Users or Clinics.
Clinics and Users are responsible for:
* The accuracy of information entered into the Platform.
* Using patient information lawfully and appropriately.
* Obtaining any necessary consents or authorizations where required by applicable law.
* Determining which individuals are authorized to access patient information.
* Using patient information in compliance with applicable laws and regulations.
Users must not use Nxt Clinic in a manner that violates the privacy or rights of patients or other individuals.
## 9. Nxt Clinic Is Not a Medical Provider
Nxt Clinic is a software platform designed to support clinic management, data organization, and administrative operations.
Nxt Clinic does not provide medical diagnosis, treatment, medical advice, or healthcare services and does not replace a physician or qualified healthcare professional.
Any medical, diagnostic, or treatment decisions made by Users or healthcare professionals remain solely their responsibility.
## 10. Service Availability
We strive to provide Nxt Clinic in a stable and reliable manner. However, we do not guarantee that the Platform will be available without interruption or completely free from errors at all times.
The Platform or certain features may be temporarily unavailable due to:
* Scheduled maintenance.
* Updates and development.
* Technical failures.
* Infrastructure or service-provider issues.
* Events beyond our reasonable control.
* Security or legal requirements.
Nxt Clinic may modify, develop, add, or remove certain Platform features when reasonably necessary.
## 11. Third-Party Services and Integrations

All rights relating to Nxt Clinic, including its software, designs, interfaces, trademarks, logos, content, features, and technology, are owned by or licensed to Nxt Clinic unless otherwise stated.
These Terms do not transfer ownership of any part of the Platform to you.
You may not copy, reproduce, modify, distribute, sell, republish, or create derivative works from any part of the Platform without prior authorization, except to the extent permitted by applicable law.
## 14. User Data and Content
User Data entered or stored through the Platform remains subject to the rights of the User or the entity the User represents, while granting Nxt Clinic the rights necessary to store, process, and use such data solely as reasonably required to provide and operate the Services.
Nxt Clinic handles personal information in accordance with its **Privacy Policy**.
Users must not upload, store, or process data through the Platform unless they have the legal right and appropriate authorization to do so.

Upon termination, access to the Services may be discontinued in accordance with these Terms and applicable law.
## 17. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Nxt Clinic is provided **"as is"** and **"as available."**
Nxt Clinic does not guarantee that the Services will meet every User's specific requirements or that the Platform will always be completely error-free, uninterrupted, or available.
Information, tools, and features provided through the Platform are not a substitute for professional judgment or the User's legal and professional responsibilities.
## 18. Limitation of Liability
To the maximum extent permitted by applicable law, Nxt Clinic shall not be liable for indirect, incidental, special, consequential, or similar damages arising from or related to the use of, or inability to use, the Platform.
This may include loss of profits, data, business, revenue, or business opportunities, except where applicable law does not permit such liability to be excluded or limited.
Nothing in this section is intended to exclude or limit any liability that cannot legally be excluded or limited under applicable law.

To the extent permitted by applicable law, you agree to indemnify and hold harmless Nxt Clinic from claims, losses, damages, liabilities, and expenses arising from or related to:
